Acceptance of Terms

By accessing and using Koala ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

Koala provides a platform that connects users with businesses and contractors offering various services. We facilitate these connections but are not directly responsible for the services provided by third-party businesses and contractors in our network.

User Accounts and Registration

Account Creation

  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

  • Your opt-in data will be shared with businesses and contractors in our network to fulfill service requests you have made
  • You are requesting to receive offers and communications from businesses/contractors you select
  • We will NOT share your information with third parties for marketing purposes outside of the services you have requested

You retain ownership of any content you submit but grant us a license to use, display, and share that content as necessary to operate the Service and fulfill your requests.

Third-Party Services

Our Service may connect you with third-party businesses and contractors. We are not responsible for:

  • The quality, accuracy, or legality of services provided by third parties
  • The actions, content, or policies of third-party service providers
  • Any transactions or disputes between you and third parties

Your interactions with third-party providers are solely between you and them.

Intellectual Property

The Service, including its content, features, and functionality, is owned by Koala and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Reverse engineer or attempt to extract source code

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOALA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

Indemnification

You agree to indemnify and hold harmless Koala, its affiliates, and their respective officers, directors, and employees from any claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you submit to the Service

Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Extended periods of inactivity
  • Upon your request

Upon termination, your right to use the Service immediately ceases.

Modifications to Service and Terms

We reserve the right to:

  • Modify or discontinue the Service at any time
  • Update these Terms periodically

Continued use of the Service after changes constitutes acceptance of modified Terms. Material changes will be communicated through the Service or via email.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
